Is it worth upgrading to Windows 7 ?

What will I lose in upgrading ?

Sure, now it's time to upgrade.
You'll lose unsigned drivers loading, if it's important for you.
In other ways you'll win if you have modern PC with >4GB RAM.
So the main trouble for you could be UAC (User Account Control), but it's much more secure than XP.
